These Terms and Conditions ("Terms") govern your access to and use of the BlitzClinic platform operated by BLITZ ENTERPRISES S.R.L. Please read them carefully before using our services.
1. Introduction & Acceptance
These Terms constitute a legally binding agreement between you ("User") and BLITZ ENTERPRISES S.R.L., a company incorporated under Romanian law, with registered office at București Sectorul 1, Strada Pitar Moș, Nr. 27, Etaj 5, Ap. 17, Romania, CUI: 54399335, registered at the Trade Registry under no. J2026021644001, EUID: ROONRC.J2026021644001 ("BlitzClinic", "we", "us"). By creating an account, accessing, or using the BlitzClinic platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our services. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.
2. Service Description
BlitzClinic is a cloud-based, multi-tenant Software-as-a-Service (SaaS) platform designed for dental and medical clinics. The platform provides: • Appointment scheduling and calendar management • Patient records and health data management • Treatment planning with interactive dental charts • Invoicing, billing, and payment processing • Real-time communication (chat, video consultations) • Document management with electronic signatures • Business intelligence, reporting, and analytics • AI-assisted clinical documentation and workflow automation • Multi-language support (English, Romanian, Ukrainian) • Multi-currency support (EUR, RON, USD, UAH) The platform is accessible via web browsers at https://blitzclinic.com and related subdomains, as well as through mobile applications.
3. Account Registration & Eligibility
To use BlitzClinic, you must: • Be at least 18 years of age or the age of legal majority in your jurisdiction • Be a licensed healthcare professional, clinic owner, clinic administrator, or authorized staff member • Provide accurate, complete, and current registration information • Maintain the confidentiality of your account credentials Clinics onboard through our self-service wizard and receive a dedicated tenant with isolated data. The clinic administrator is responsible for managing user accounts within their organization and ensuring all users comply with these Terms. You are solely responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. User Obligations & Acceptable Use
You agree to: • Use the platform only for lawful purposes related to healthcare clinic management • Comply with all applicable laws, including GDPR, HIPAA (where applicable), and Romanian healthcare regulations • Obtain and maintain all necessary patient consents before entering data into the platform • Not share account credentials or allow unauthorized persons to access the platform • Not attempt to reverse-engineer, decompile, or disassemble any part of the platform • Not use the platform to transmit malware, spam, or any harmful content • Not use the platform to store or process data unrelated to clinic operations • Not circumvent or disable any security features of the platform • Ensure that all data entered is accurate and that you have the legal right to process it Violation of these obligations may result in immediate suspension or termination of your account.
5. Intellectual Property
All intellectual property rights in the BlitzClinic platform, including but not limited to software, design, trademarks, logos, documentation, and content, are owned by BLITZ ENTERPRISES S.R.L. or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform for the duration of your subscription, solely for your internal clinic management purposes. You retain ownership of all data you input into the platform. By using the platform, you grant us a limited license to process your data solely for the purpose of providing and improving our services, in accordance with our Privacy Policy. Feedback, suggestions, or ideas you provide about the platform may be used by us without obligation or compensation to you.
6. Data Protection
We process personal data and health data in accordance with the EU General Data Protection Regulation (GDPR), Romanian Law 190/2018, and other applicable data protection legislation. For detailed information about how we collect, use, store, and protect your data, please refer to our Privacy Policy available at https://blitzclinic.com/legal/privacy. When you use BlitzClinic to process patient data, you act as the data controller and we act as the data processor. A Data Processing Agreement (DPA) is included as part of your subscription agreement and governs our processing of personal data on your behalf. We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including encryption at rest (AES-256) and in transit (TLS 1.2+), access controls, and audit logging.
7. Payment Terms
BlitzClinic operates on a subscription-based pricing model. Fees are charged per clinic on a monthly or annual basis, as selected during onboarding. • All prices are displayed exclusive of VAT unless otherwise stated • Payments are processed securely through Revolut and other supported payment providers • Subscriptions renew automatically unless cancelled before the renewal date • You will receive an invoice for each payment via email • Refunds are available within 14 days of initial subscription purchase if no patient data has been entered • Late payments may result in service suspension after a 15-day grace period and written notice • We reserve the right to adjust pricing with at least 60 days' prior written notice before the next billing cycle Founding member promotions and discounts are subject to separate terms communicated at the time of enrollment.
8. Service Availability & SLA
We strive to maintain platform availability of 99.9% uptime, measured monthly, excluding scheduled maintenance windows. • Scheduled maintenance will be communicated at least 48 hours in advance and performed during low-traffic hours • We are not liable for downtime caused by force majeure, third-party service failures, or circumstances beyond our reasonable control • In the event of extended unplanned downtime exceeding 24 consecutive hours, affected subscribers may request a pro-rata service credit for the affected period We maintain automated backups, disaster recovery procedures, and monitoring systems to minimize service disruptions.
9. Limitation of Liability
To the maximum extent permitted by applicable law: • BlitzClinic is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement • Our total aggregate liability for any claims arising from or related to these Terms or the use of the platform shall not exceed the total fees paid by you in the 12 months preceding the claim • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities • We are not responsible for clinical decisions made using the platform. AI-generated suggestions are informational only and do not constitute medical advice • We are not liable for damages resulting from your failure to maintain adequate security of your account credentials Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
10. Termination
You may terminate your subscription at any time by providing written notice to [email protected]. Termination takes effect at the end of the current billing period. We may suspend or terminate your account immediately if: • You breach these Terms • You fail to pay fees after the grace period • Your use poses a security risk to the platform or other users • Required by law or regulatory authority Upon termination: • You will have 30 days to export your data in a standard format (CSV, JSON) • After the 30-day export period, your data will be deleted in accordance with our data retention policy and applicable legal requirements • Health records may be retained as required by applicable healthcare regulations • Provisions that by their nature should survive termination (intellectual property, limitation of liability, governing law) shall continue in effect
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles. Any disputes arising from or in connection with these Terms shall be resolved as follows: 1. Amicable resolution: The parties shall first attempt to resolve disputes through good-faith negotiation within 30 days of written notice. 2. Mediation: If negotiation fails, the parties shall attempt mediation under the rules of the Bucharest Mediation Center. 3. Litigation: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Bucharest, Romania. Consumers residing in the EU may also use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
